By accessing our website, creating an account, or utilizing any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and any additional terms applicable to specific services.   • Update your information promptly when changes occur
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized access or security breaches

We reserve the right to refuse service, terminate accounts, or suspend access at our sole discretion, particularly in cases of suspected fraudulent activity, violation of these Terms, or failure to meet eligibility requirements.

3. Services Description

Meridian Tech provides comprehensive financial services designed to simplify banking solutions for Canadian residents. Our services include, but are not limited to:

  • Secure online account management and transaction processing
  • Mobile banking application with real-time notifications
  • Electronic fund transfers and bill payment services
  • Account statements and transaction history access
  • Financial planning tools and calculators

3.2 Financial Advisory Services

  • Personalized financial consultation and guidance
  • Budget planning and expense tracking assistance
  • Savings strategy development
  • Financial literacy resources and educational materials

3.3 Customer Support

We provide customer support through multiple channels including phone, email, and secure messaging. Support hours are Monday through Friday, 8:00 AM to 8:00 PM EST, with limited weekend availability. Response times may vary based on inquiry complexity and volume.

Service Availability:While we strive to maintain continuous service availability, we do not guarantee uninterrupted access. Scheduled maintenance, system upgrades, and unforeseen technical issues may temporarily affect service availability. We will provide advance notice of planned maintenance whenever possible.

4. Fees and Charges

4.1 Service Fees

Our fee structure is transparent and competitive. Applicable fees include:

  • Monthly Account Maintenance Fee:Varies by account type, ranging from $0 to $15.95 per month
  • Transaction Fees:May apply for transactions exceeding monthly limits
  • Wire Transfer Fees:Domestic transfers $15-$25, international transfers $30-$50
  • Insufficient Funds Fee:$45 per occurrence
  • Stop Payment Fee:$25 per request
  • Paper Statement Fee:$2.50 per statement (waived for electronic statements)
  • Account Closure Fee:$50 if closed within 90 days of opening

4.2 Interest Rates

Interest rates on savings accounts and other interest-bearing products are variable and subject to change based on market conditions, Bank of Canada policy rates, and our internal risk assessment. Current rates are:

  • Standard Savings Account:0.50% - 1.25% annual percentage yield (APY)
  • High-Interest Savings Account:2.00% - 3.50% APY
  • Term Deposits:Rates vary by term length (1-5 years), currently 2.50% - 4.25% APY

Interest is calculated daily and credited monthly. We reserve the right to modify interest rates with 30 days' written notice. Rate changes will be communicated through email, account notifications, or posted on our website.

4.3 Fee Waivers and Discounts

Certain fees may be waived or reduced based on:

  • Minimum balance requirements maintained throughout the statement period
  • Direct deposit arrangements with your employer
  • Bundle packages combining multiple services
  • Student status (valid student ID required)
  • Senior citizen status (age 60 and above)

4.4 Payment Authorization

By using our services, you authorize us to deduct applicable fees from your account automatically. You are responsible for maintaining sufficient funds to cover all fees. If your account lacks sufficient funds, we may suspend services until payment is received, and additional fees may apply.

IMPORTANT: All fees are subject to applicable federal and provincial taxes. A complete fee schedule is available upon request and on our website. We recommend reviewing the fee schedule regularly as fees may change with 60 days' notice.

5. Client Obligations and Responsibilities

5.1 Account Management

You are solely responsible for:

  • Maintaining accurate and current contact information
  • Safeguarding your login credentials, passwords, and security questions
  • Monitoring your account activity regularly for unauthorized transactions
  • Reviewing monthly statements and reporting discrepancies within 30 days
  • Ensuring sufficient funds are available for scheduled payments and fees
  • Complying with all applicable laws and regulations
  • Using services only for lawful purposes

5.2 Prohibited Activities

You agree not to:

  • Use our services for any illegal activities or transactions
  • Provide false, misleading, or fraudulent information
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Engage in money laundering, terrorist financing, or other financial crimes
  • Use automated systems or software to extract data from our platform
  • Interfere with or disrupt our services or servers
  • Share your account access with unauthorized third parties
  • Reverse engineer, decompile, or disassemble our software
  • Violate any applicable federal or provincial laws

5.3 Reporting Requirements

You must immediately report to us:

  • Any suspected unauthorized access or use of your account
  • Loss or theft of account credentials or security devices
  • Errors or discrepancies in account statements or transactions
  • Changes in your financial circumstances that may affect your ability to meet obligations
  • Changes in employment status or income

Failure to report issues promptly may result in your liability for unauthorized transactions and may limit our ability to recover funds or prevent further unauthorized activity.

6. Default and Remedies

6.1 Events of Default

You will be considered in default if:

  • You fail to pay any fees or charges when due
  • You breach any material term of these Terms
  • You provide false or misleading information
  • You engage in fraudulent or illegal activities
  • Your account shows patterns of suspicious activity
  • You become subject to bankruptcy or insolvency proceedings
  • You fail to maintain required account balances or documentation

6.2 Consequences of Default

Upon default, we may, at our sole discretion:

  • Suspend or terminate your access to services immediately
  • Close your account and demand immediate payment of all outstanding balances
  • Report the default to credit bureaus, which may negatively impact your credit score
  • Initiate collection proceedings to recover outstanding amounts
  • Charge additional late payment fees and collection costs
  • Exercise any other rights available under applicable law

6.3 Right to Set-Off

We reserve the right to set-off any amounts you owe us against any funds held in your accounts with us. This means we may deduct outstanding fees, charges, or other obligations from your account balance without prior notice if you are in default.

6.4 Collection Costs

If we engage collection agencies or legal counsel to recover amounts owed, you agree to pay all reasonable collection costs, including but not limited to attorney fees, court costs, and collection agency fees, to the extent permitted by law.

NOTICE: Default may result in negative credit reporting, legal action, and additional costs. If you anticipate difficulty meeting your obligations, contact us immediately to discuss potential solutions. Early communication may help avoid default consequences.

7. Privacy and Data Protection

7.1 Information Collection and Use

We collect, use, and disclose personal information in accordance with our Privacy Policy and applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA). The types of information we collect include:

  • Personal identification information (name, address, date of birth, SIN)

  • Financial information (income, employment, transaction history)

8. Limitation of Liability and Disclaimers

8.1 Service Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties of uninterrupted or error-free service
  • Warranties regarding the accuracy, reliability, or completeness of information
  • Warranties that defects will be corrected
  • Warranties regarding security or freedom from viruses or harmful components

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APEX FINANCIAL SOLUTIONS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or delays
  • Unauthorized access to or alteration of your transmissions or data
  • Errors or omissions in content or information
  • Actions or inactions of third parties
  • Any matter beyond our reasonable control

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $500 CAD, WHICHEVER IS GREATER.

8.3 Third-Party Services and Links

Our platform may contain links to third-party websites or integrate with third-party services. We do not control, endorse, or assume responsibility for any third-party content, products, or services. Your use of third-party services is at your own risk and subject to their terms and conditions.

8.4 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

IMPORTANT NOTICE: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you, and our liability will be limited to the maximum extent permitted by law.

9. Dispute Resolution and Governing Law

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for resolution of any disputes.

9.2 Informal Resolution

Before initiating formal dispute resolution proceedings, you agree to first contact us to attempt to resolve the dispute informally. Please send a detailed description of the dispute to:

We will attempt to resolve the dispute within 30 days of receiving your notice. If we cannot reach a mutually satisfactory resolution, either party may proceed with formal dispute resolution.

9.3 Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the ADR Institute of Canada in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Toronto, Ontario, in English, before a single arbitrator mutually agreed upon by the parties.

The arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction. Each party shall bear its own costs and expenses, including legal fees, unless the arbitrator determines otherwise.

9.4 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

9.5 Exceptions to Arbitration

Notwithstanding the arbitration provision, either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

10. Termination and Account Closure

10.1 Termination by You

You may terminate your account at any time by:

  • Providing written notice to us at least 30 days in advance
  • Ensuring all outstanding balances and fees are paid in full
  • Withdrawing all remaining funds from your account
  • Canceling all scheduled payments and automatic transfers

If you close your account within 90 days of opening, an account closure fee of $50 will apply. This fee will be deducted from your final account balance.

10.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

  • You breach any provision of these Terms
  • We suspect fraudulent, illegal, or unauthorized activity
  • Your account shows patterns of suspicious transactions
  • You fail to pay fees or charges when due
  • You provide false or misleading information
  • We are required to do so by law or regulatory authority
  • Your account remains inactive for 12 consecutive months

10.3 Effects of Termination

Upon termination of your account:

  • Your access to services will be immediately revoked
  • All outstanding balances become immediately due and payable
  • We will process the return of any remaining funds, minus applicable fees
  • You must cease all use of our services and platforms
  • Provisions of these Terms that by their nature should survive termination will remain in effect

10.4 Data Retention After Termination

Following account termination, we will retain your information as required by law for regulatory compliance, dispute resolution, and record-keeping purposes. Typically, we retain account information for seven years after account closure, in accordance with Canadian financial regulations.

11. Intellectual Property Rights

11.1 Ownership

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof (collectively, "Content"), are the exclusive property of Apex Financial Solutions Inc. or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

11.2 Trademarks

The Meridian Tech name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Apex Financial Solutions Inc. or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans mentioned are the trademarks of their respective owners.

11.3 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our services for your personal, non-commercial use. This license does not include any right to:

  • Reproduce, distribute, modify, or create derivative works of our Content
  • Use our services for commercial purposes
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Access or use our services through automated means
  • Reverse engineer, decompile, or disassemble our software

11.4 User Content

If you submit any content, feedback, suggestions, or ideas to us, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media. You represent and warrant that you own or have the necessary rights to grant this license.

12. Indemnification

You agree to indemnify, defend, and hold harmless Apex Financial Solutions Inc., its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any rights of another person or entity
  • Your use or misuse of our services
  • Your breach of any representation or warranty made in these Terms
  • Any content you submit or transmit through our services
  • Your negligence or willful misconduct
  • Any fraudulent or illegal activity conducted through your account

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. This indemnification obligation will survive termination of these Terms and your use of our services.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific services, constitute the entire agreement between you and Apex Financial Solutions Inc. regarding your use of our services and supersede all prior agreements, understandings, and communications, whether written or oral.

13.2 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated through email notification or prominent notice on our website at least 30 days before the effective date. Your continued use of our services after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of our services and close your account.

13.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

13.4 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.5 Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.

13.6 Notices

All notices required or permitted under these Terms shall be in writing and delivered by email, postal mail, or through your account dashboard. Notices to you will be sent to the email address or mailing address associated with your account. Notices to us should be sent to:

13.7 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in case of any inconsistency or discrepancy.

13.8 Survival

The following sections shall survive termination of these Terms: Fees and Charges (for amounts owed), Limitation of Liability and Disclaimers, Dispute Resolution and Governing Law, Indemnification, Intellectual Property Rights, and any other provisions that by their nature should survive termination.
